Terms of Service
Effective November 9, 2026.
Version effective November 9, 2026. A fixed copy of this version is kept at vcohost.com/terms/2026-11-09.
These VCoHost Terms of Service (“Terms”) govern your use of remote co-hosting and related services provided by VCoHost Inc., a Delaware corporation (“VCoHost,” “we,” “us,” or “our”).
By creating an account, enrolling a property, clicking “I Agree,” “Activate VCoHost,” or another acceptance mechanism presented by VCoHost, you (“Client,” “you,” or “your”) acknowledge that you have read and agree to these Terms.
These Terms apply to each short-term or vacation rental property you enroll in VCoHost services (each, a “Property”).
Your selected pricing, operational authorizations, Property information, and other selections made during onboarding or subsequently through your VCoHost account (“Property Settings”) are incorporated into and form part of these Terms.
1. VCoHost Services
VCoHost provides remote vacation-rental operational support and co-hosting services (“Services”).
The standard VCoHost service includes:
- 24/7 monitoring of guest communications
- guest inquiry and reservation support
- booking and reservation management
- dynamic pricing and revenue management
- listing management and optimization
- multi-platform listing support
- cleaner coordination
- maintenance triage
- guest review management
- digital house guide creation and maintenance
- basic marketing and promotional support
VCoHost will use commercially reasonable efforts to provide the Services for each enrolled Property.
All Services are performed remotely. VCoHost does not physically inspect, clean, repair, maintain, secure, or take possession or physical control of a Property.
2. Your Authorization of VCoHost
You authorize VCoHost to access and operate the booking platforms, property-management systems, pricing systems, communication tools, smart-lock systems, and other accounts and systems you connect or authorize for purposes of providing the Services.
You authorize VCoHost to:
- communicate with prospective, current, and past Guests;
- respond to booking inquiries and reservation-related communications;
- manage reservations and routine reservation modifications;
- update and optimize existing listing content;
- manage rates, minimum stays, availability, discounts, and promotions;
- communicate with booking platforms regarding listings, reservations, account issues, Guest disputes, and related matters;
- communicate and coordinate with your designated cleaners;
- communicate with maintenance providers when necessary to triage a Property issue;
- provide Guests with access instructions, house rules, and Property information;
- create and maintain automated Guest communications and digital house guides;
- manage Guest access through connected smart-lock and property-management systems;
- submit or assist with Guest damage claims where applicable; and
- take other routine administrative actions reasonably necessary to provide the Services.
This authorization does not permit VCoHost to sell, lease, transfer, finance, or encumber your Property; enter unrelated contracts in your name; hold Guest or owner funds; or incur expenses beyond the authority you have granted. You remain the owner and operator of the Property and retain ultimate authority over it.
3. Property Settings and Operating Authority
During onboarding, you will provide Property-specific information and establish certain operating permissions (“Property Settings”).
Property Settings may include:
- property and contact information;
- booking platforms and connected systems;
- pricing parameters or restrictions;
- cleaning provider information;
- maintenance and emergency contacts;
- authority to dispatch a maintenance provider without prior approval;
- maximum routine expenditures VCoHost may authorize;
- guest compensation authority;
- property access information;
- the Property walkthrough completed during onboarding and signed by you, including required photographs of the primary Guest entrance and its lock, the backup lockbox, each thermostat, the Wi-Fi router, and, where the Property has them, the Guest parking area, television remotes, and hot tub or pool controls, and the location of each smoke and carbon monoxide alarm, each fire extinguisher, and the electrical panel;
- house rules and operating instructions; and
- other Property-specific preferences or restrictions.
Your Property Settings constitute instructions and authorization to VCoHost. You are responsible for ensuring that your Property Settings are accurate and current and for promptly notifying VCoHost of any changes. VCoHost may rely upon your Property Settings and other instructions without independently verifying them.
Owner Walkthrough
Because VCoHost never visits the Property, the walkthrough completed and signed during onboarding, with its photographs, is the source of the facts VCoHost uses about the Property, including in listings, house guides, Guest communications, and actions under Sections 13 through 15.
You may complete the walkthrough yourself or have your local contact or another person you designate complete it, including the photographs. In either case, you must review and sign the walkthrough yourself, and it is treated as information supplied by you. You are responsible for its accuracy.
Signing the walkthrough confirms it is accurate. VCoHost may compare the photographs with the answers but does not inspect or verify the Property. If the walkthrough, your Property Settings, or your later instructions differ from a booking-platform listing, your most recent information controls, and you authorize VCoHost to update the listing to match. You must update the walkthrough or notify VCoHost promptly when anything in it changes.
4. Property Access
You are responsible for maintaining a reliable method of Guest access to the Property and providing VCoHost with the information and system access reasonably necessary to administer Guest access.
Smart Locks
If the Property uses a compatible smart lock, you will give VCoHost the login credentials for the smart-lock account during onboarding, by phone or video call, so VCoHost can connect the smart lock to its property-management system. You authorize VCoHost and the technology providers used by VCoHost to access and use the connected smart-lock account as reasonably necessary to provide the Services.
VCoHost will use your smart-lock credentials only to connect and maintain the smart lock with its property-management system, will keep them in a secure password manager and not in any form or general record, will treat them as confidential information under Section 23, and will tell you whether you can change your password afterward without breaking the connection. If you change the password, you must tell VCoHost promptly so the connection keeps working.
Where supported by the applicable systems, VCoHost will generate or facilitate unique access codes for individual reservations that are intended to function only during the applicable Guest's authorized stay. You are responsible for maintaining the smart-lock hardware, batteries, internet or network connectivity where required, and any account, subscription, bridge, hub, or other equipment necessary for its operation. VCoHost does not guarantee the operation, connectivity, security, or availability of third-party smart-lock hardware, software, or integrations.
Properties Without Smart Locks
If the Property does not have a compatible smart lock, you must provide an appropriate self-service access method, such as a lockbox containing a Property key, and provide VCoHost with the information necessary to communicate access instructions to Guests.
VCoHost does not provide or coordinate in-person Guest greetings or check-in services. If you use a third party to greet Guests, VCoHost may provide that person with relevant reservation and Guest information when you authorize us to do so. You remain responsible for arranging, scheduling, and coordinating the greeting directly with that person.
Required Backup Access
Regardless of the primary method of Guest entry, you must maintain a backup lockbox at the Property containing a working key or other means of accessing the primary Guest entrance. The backup lockbox is intended for emergency or access-failure situations and is not the standard method of Guest entry. You are responsible for ensuring that the backup key, lockbox, and access code remain functional and current and for promptly notifying VCoHost of any changes.
VCoHost may provide backup access information to a Guest, cleaner, maintenance provider, emergency responder, or other appropriate person when reasonably necessary to address an access failure, Emergency, or other Property issue.
5. Your Responsibilities
You are responsible for:
- providing complete, accurate, and current Property information;
- providing and maintaining necessary access to connected platforms and systems;
- maintaining the Property in a safe, clean, secure, habitable, and Guest-ready condition;
- maintaining qualified cleaners and maintenance providers sufficient to support Property operations;
- maintaining adequate Property supplies and equipment;
- maintaining all required licenses, permits, registrations, inspections, and governmental approvals;
- complying with applicable laws, ordinances, HOA requirements, occupancy restrictions, and platform policies;
- providing accurate house rules, access information, safety information, and emergency procedures;
- promptly notifying VCoHost of changes affecting the Property;
- responding reasonably promptly when VCoHost requires a decision from you;
- maintaining the short-term rental insurance required by Section 26; and
- paying all Property-related expenses and financial obligations.
You remain responsible for the Property and its physical operation regardless of the Services provided by VCoHost. VCoHost may rely upon information and instructions supplied by you and is not responsible for issues resulting from inaccurate, incomplete, outdated, or untimely information supplied by you or your representatives.
6. Property Condition and Legal Compliance
You are solely responsible for the physical condition, safety, legality, licensing, permitting, zoning compliance, code compliance, and regulatory compliance of your Property. VCoHost does not inspect Properties and does not represent or warrant that a Property complies with building, fire, safety, accessibility, zoning, licensing, tax, HOA, or other requirements.
You hold in your own name any short-term rental license, permit, or registration the Property requires, and you are responsible for applying for, renewing, and posting it, including any registration number a jurisdiction or booking platform requires on the listing. You will give VCoHost that number and its expiration date so it can be shown where required.
You are responsible for determining, collecting where required, filing returns for, and remitting all lodging, occupancy, sales, tourism, income, and other taxes, except to the extent a booking platform expressly collects and remits a tax on your behalf. VCoHost does not register for, file, or remit taxes for you, including for bookings made through a VCoHost direct booking site. VCoHost does not provide legal, tax, accounting, insurance, or regulatory advice.
7. Booking Platform Listings
VCoHost manages and optimizes existing booking-platform listings that you create and connect or make accessible to VCoHost. You are responsible for creating and initially establishing each listing you wish to use on Airbnb, Vrbo, Booking.com, or any other booking platform.
This includes:
- creating the applicable platform account;
- initiating and establishing the listing;
- completing identity, ownership, banking, tax, or other verification required by the platform;
- accepting the platform's terms and conditions; and
- completing any other owner-specific requirements necessary to establish and activate the listing.
VCoHost does not create new booking-platform accounts or originate new listings on your behalf, except a listing on a VCoHost direct booking site as described in Section 11. Once an eligible listing has been established and you have provided appropriate access, VCoHost may connect, configure, manage, maintain, and optimize the listing as part of the Services. You remain the owner and account holder of all booking-platform accounts and listings used in connection with the Property.
Listing Requirements
Each Property must be offered to Guests as an entire home: Guests have the whole dwelling to themselves for their stay, with no shared living space and no other occupants, including you. A separate dwelling with its own entrance and no shared living space, such as a guest house on a lot where you live, qualifies. VCoHost does not manage private rooms, shared rooms, or listings where the owner or another person is present during Guest stays.
Each listing VCoHost manages must have instant booking enabled (Airbnb Instant Book or the equivalent setting on another platform). You authorize VCoHost to enable this setting and keep it on. If instant booking is turned off at your request, VCoHost may, after notice, treat the listing as no longer eligible and suspend or end Services for it under Section 20.
8. Guest Communication and Support
VCoHost will monitor supported Guest communication channels 24 hours per day, seven days per week.
VCoHost may provide pre-arrival, in-stay, and post-stay assistance; answer booking questions; communicate Property information; provide check-in and check-out instructions; remotely troubleshoot common issues; and escalate Property issues when necessary.
24/7 monitoring does not constitute a guarantee of an immediate response or a guaranteed response time. Response times may be affected by communication volume, platform availability, emergencies, technical failures, or circumstances outside VCoHost's reasonable control. VCoHost does not guarantee Guest satisfaction, dispute resolution, review scores, or other Guest outcomes.
9. Reservation Management
VCoHost will monitor new and existing reservations, respond to reservation-related questions, coordinate routine reservation modifications, monitor cancellations, and administer your established reservation policies.
VCoHost may escalate unusual Guest requests or material financial decisions when your approval is required. You remain the merchant of record and recipient of booking proceeds. VCoHost does not process or hold Guest funds.
10. Pricing and Revenue Management
You authorize VCoHost to manage rates, minimum-stay requirements, discounts, promotions, availability settings, and related pricing strategies within any restrictions established in your Property Settings. VCoHost may use third-party pricing technology, market information, historical performance, booking trends, professional judgment, and other information to provide these Services.
You may establish reasonable pricing restrictions through your Property Settings. Short-term rental performance is inherently uncertain. VCoHost does not guarantee occupancy, average daily rate, bookings, revenue, profitability, market share, or other financial results.
11. Listing Management and Marketing
VCoHost may review, modify, and optimize existing listing titles, descriptions, amenity information, photographs, promotions, and other Guest-facing content on booking-platform listings you have created and connected to VCoHost.
VCoHost may make reasonable adjustments based on seasonality, Property changes, booking performance, Guest feedback, or platform functionality.
VCoHost may assist with configuring and maintaining connected listings across supported booking channels but does not create or establish the underlying platform accounts or listings.
VCoHost may implement available booking-platform promotions and provide basic marketing support intended to improve Property positioning and presentation.
VCoHost does not purchase advertising, manage paid advertising campaigns, manage social media accounts, or incur advertising expenses on your behalf.
VCoHost does not guarantee listing visibility, search placement, platform ranking, traffic, bookings, or conversion rates.
Direct Booking Site
VCoHost may list the Property on a direct booking site operated by or for VCoHost, currently stay.vcohost.com, at no charge to you. Guests who book there may pay a booking fee to the site operator. Direct booking payouts go from the payment processor to the payout account you verify, not to VCoHost. You may ask VCoHost to remove the Property from the direct booking site at any time.
12. Cleaner Coordination
VCoHost will communicate reservation and turnover information to your designated cleaning provider and may follow up regarding reported turnover completion.
VCoHost may relay Guest feedback, cleaning concerns, reported Property damage, or other issues communicated by the cleaner.
You are responsible for selecting, hiring, retaining, supervising, and paying your cleaning provider.
VCoHost does not physically inspect cleaning work and does not guarantee cleaning quality, availability, timeliness, or performance.
Your cleaner remains an independent service provider and is not an employee, contractor, or agent of VCoHost.
13. Maintenance Triage
VCoHost will receive and triage maintenance and operational issues reported by Guests.
VCoHost may attempt reasonable remote troubleshooting, communicate the issue to you or a designated maintenance provider, and communicate relevant updates to the Guest.
VCoHost may dispatch your emergency contact or designated maintenance provider without prior approval when authorized by your Property Settings.
VCoHost does not perform repairs, physically inspect reported issues, diagnose technical problems, supervise maintenance providers, or guarantee the quality, availability, timeliness, pricing, or performance of maintenance work.
VCoHost may rely on diagnoses, estimates, recommendations, and representations made by your maintenance providers.
All maintenance and Property-related expenses remain your responsibility.
14. Emergencies
An “Emergency” means a situation VCoHost reasonably believes presents an imminent threat to Guest safety, significant Property damage, Property security, or continued habitability.
In an Emergency, VCoHost may attempt to contact you and may contact emergency services, utilities, your designated maintenance provider, security providers, or other appropriate parties without waiting for your approval when VCoHost reasonably believes immediate action is necessary.
Any cost with a maintenance provider in an Emergency follows your routine expenditure limit; VCoHost does not incur expenses on your behalf beyond it.
All Emergency and third-party costs remain your responsibility.
VCoHost's assistance during an Emergency does not create a duty to physically inspect, maintain, repair, or secure the Property.
15. Guest Credits, Refunds, and Compensation
You authorize VCoHost to provide reasonable Guest service recovery up to the compensation limit established in your Property Settings.
Unless you select another amount, VCoHost may authorize Guest credits or compensation of up to $100 per reservation without additional approval when reasonably appropriate to resolve a Guest service issue.
Compensation above the authorized amount, material refunds, and exceptions to cancellation policies generally require your approval unless imposed by a booking platform.
All refunds, credits, reimbursements, chargebacks, and other reservation adjustments are your financial responsibility.
VCoHost does not guarantee the outcome of Guest disputes, chargebacks, refund requests, or platform decisions.
16. Guest Damage and Claims
VCoHost may assist with documenting, submitting, and communicating Guest damage claims through supported booking platforms.
You and your cleaners or other service providers are responsible for timely identifying damage and providing photographs, receipts, estimates, invoices, or other evidence necessary to pursue a claim.
VCoHost does not guarantee reimbursement or recovery through Airbnb AirCover, Vrbo, another booking platform, insurance, security deposits, credit cards, or Guests.
Failure of a Guest, platform, insurer, or other third party to reimburse you does not create liability for VCoHost.
17. Third-Party Platforms and Technology
VCoHost's Services depend substantially upon third-party booking platforms, pricing systems, property-management systems, smart-lock systems, communication providers, payment processors, and other technology outside VCoHost's control.
VCoHost is not responsible for losses resulting from circumstances outside its reasonable control, including:
- platform or software outages;
- API or integration failures;
- calendar synchronization errors;
- smart-lock or access-system failures;
- duplicate reservations caused by third-party technology failures;
- payment delays or holds;
- account restrictions or suspensions;
- platform policy or algorithm changes;
- changes in fees, ranking systems, or functionality;
- unauthorized access to third-party accounts not caused by VCoHost's failure to use reasonable safeguards;
- inaccurate third-party data; or
- discontinuation of a third-party service.
VCoHost does not guarantee continued compatibility with any particular platform, smart lock, integration, or technology provider.
18. Fees
Onboarding
VCoHost does not charge an onboarding fee. Onboarding is included in the Services, including an initial review of your listing against comparable listings in your market with recommended changes.
Service Fee
Unless another rate is stated during enrollment, you will pay VCoHost a monthly Service Fee equal to the greater of:
- 10% of Owner Payout; or
- the applicable Minimum Monthly Service Fee.
“Owner Payout” means the amount attributable to reservations and payable to you after deduction of taxes, booking-platform commissions or service fees, and other amounts withheld by the applicable platform, but before deduction of VCoHost's Service Fee or your other operating expenses.
Refunds, credits, cancellations, chargebacks, and similar adjustments will be reflected when actually deducted from or credited to you by the applicable platform.
Minimum Monthly Service Fee
The standard Minimum Monthly Service Fee is $250 for the first Managed Listing associated with a Property.
If a Property or group of related Properties uses additional linked listings, including parent/child configurations that allow individual units to be rented separately or together, an additional minimum fee of $150 per month for each additional Managed Listing will apply.
A “Managed Listing” means a distinct rentable listing or listing configuration managed by VCoHost that requires its own calendar, pricing configuration, owner statement, software subscription, or similar ongoing administration.
For purposes of calculating the percentage-based Service Fee, revenue will be counted only once based on the applicable reservation and Owner Payout, regardless of the number of linked or parent/child listings associated with the Property.
The applicable Minimum Monthly Service Fee applies regardless of booking volume, occupancy, or Owner Payout during the applicable month, including months in which a Managed Listing receives no bookings or generates no Owner Payout.
The Minimum Monthly Service Fee begins on the Go-Live Date. For the month in which the Go-Live Date falls and the month in which Services end, it is prorated by the number of days Services were active. “Go-Live Date” means the date VCoHost first opens the Property’s calendar to bookings under VCoHost management.
Properties Enrolled Before November 9, 2026
The Minimum Monthly Service Fee does not apply to a Property enrolled in VCoHost Services before November 9, 2026 for as long as that Property remains continuously enrolled. The Service Fee for such a Property is 10% of Owner Payout, or the rate stated in your enrollment pricing if different. A Property that is cancelled and later re-enrolled is treated as a new enrollment.
Pricing displayed and accepted by you during enrollment controls if it differs from the standard pricing stated above.
See Section 20 for the First-Month Guarantee.
19. Billing and Payment
VCoHost will bill Service Fees monthly unless another billing schedule is disclosed during enrollment.
You agree to maintain a valid payment method on file and authorize VCoHost and its payment processor to charge amounts properly due for Services.
Invoices are due within seven (7) days unless otherwise stated.
Past-due balances may accrue interest at the lesser of 1.5% per month or the maximum amount permitted by law.
To the extent permitted by law, you are responsible for reasonable costs incurred collecting undisputed past-due balances.
VCoHost may suspend Services for nonpayment after reasonable notice.
VCoHost is not responsible for missed Guest communications, operational disruptions, lost bookings, reviews, or other consequences resulting from a suspension caused by your failure to pay amounts due.
20. Cancellation and Termination
You may cancel VCoHost Services for a Property at any time through an available account cancellation method or by providing written notice to VCoHost.
VCoHost may terminate Services upon seven (7) days' written notice.
VCoHost may suspend or terminate Services immediately for:
- nonpayment;
- material violation of these Terms;
- unsafe or unlawful Property conditions;
- loss of required platform or system access;
- failure to maintain the insurance required by Section 26;
- abusive, threatening, discriminatory, or harassing conduct toward VCoHost personnel or contractors;
- instructions VCoHost reasonably believes violate law or platform rules; or
- circumstances that make continued performance unsafe or commercially unreasonable.
Termination does not eliminate amounts earned or owed before termination.
Service Fees are owed through the date Services end, including the Minimum Monthly Service Fee prorated under Section 18. No Service Fee is owed for reservations that check in after Services end.
First-Month Guarantee
If you cancel Services for the first Property you enroll with VCoHost by written notice given no later than seven (7) days after the end of the First Month:
- you will owe no Service Fee, including any Minimum Monthly Service Fee, for the First Month, and VCoHost will refund any Service Fee already paid for it; and
- VCoHost will remove itself as co-host and disconnect its systems as described in Section 21.
“First Month” means the thirty (30) days beginning on the Go-Live Date. The guarantee covers VCoHost’s Service Fees only. Guest compensation, refunds, emergency and maintenance expenses, cleaning costs, platform fees, and other Property expenses remain your responsibility. The guarantee applies once per client.
21. What Happens When Services End
Following cancellation or termination, VCoHost may provide a transition period of up to seven (7) days for active Guest communications and operational information.
After the transition period, VCoHost may discontinue monitoring all Guest communications, platforms, calendars, reservations, Property access systems, cleaners, and Property activity.
You are responsible for removing VCoHost's access to accounts and systems you control when Services end and changing shared credentials when appropriate.
VCoHost may disconnect or remove its proprietary systems, automations, integrations, templates, and other VCoHost technology from connected accounts.
You become solely responsible for future reservations, Guest communications, access management, refunds, claims, cleaning coordination, maintenance, pricing, and Property operations after VCoHost's responsibilities end.
22. Intellectual Property
VCoHost retains ownership of its proprietary systems, workflows, templates, automations, operating procedures, pricing methodologies, documentation, processes, know-how, and other intellectual property (“VCoHost IP”).
Your use of VCoHost does not transfer ownership of VCoHost IP to you.
You retain ownership of materials you provide to VCoHost.
Subject to payment of all amounts owed, you may continue using Property-specific listing copy, descriptions, house rules, and Guest-facing materials created specifically for your Property after Services end.
VCoHost may continue using its general knowledge, concepts, templates, systems, workflows, and non-client-specific materials.
Ownership and usage rights for professional photography, videography, floor plans, and other third-party creative assets are determined by the applicable purchase or licensing arrangement.
23. Confidentiality, Credentials, Privacy, and Data
Each party will use reasonable measures to protect confidential information received from the other.
Confidential information includes account credentials, smart-lock credentials, access codes, Guest information, financial information, non-public Property information, and proprietary business information.
You authorize VCoHost to access, process, store, and transmit Property, reservation, Guest, account, and access information reasonably necessary to provide the Services.
You further authorize VCoHost to provide credentials or account authorization to VCoHost's property-management system, smart-lock integration providers, and other technology providers when reasonably necessary to connect or operate systems used to provide the Services.
VCoHost may use employees, independent contractors, virtual assistants, technology providers, and other service providers in delivering the Services and may provide them access to information reasonably necessary to perform their responsibilities.
VCoHost will require personnel under its control who access confidential information to handle such information appropriately.
VCoHost is not responsible for a data breach or unauthorized disclosure originating from your systems, a booking platform, smart-lock provider, Vendor, Guest, or other third party unless directly caused by VCoHost's failure to use reasonable safeguards.
24. VCoHost Personnel and Contractors
VCoHost may provide Services through employees, affiliates, contractors, virtual assistants, technology providers, and other qualified service providers.
VCoHost remains responsible for managing its personnel but is not required to obtain your approval for individual personnel assigned to your account.
Nothing in these Terms creates an employment relationship between you and any VCoHost personnel.
25. Your Representations
By enrolling a Property, you represent that:
- you own the Property or have authority to operate and enroll it;
- you have authority to agree to these Terms;
- short-term rental operation of the Property does not violate applicable law or a binding contractual restriction;
- you have obtained required licenses, permits, registrations, and approvals;
- information and materials you provide are accurate and may lawfully be used by VCoHost;
- you have authority to provide VCoHost access to connected platforms, smart locks, and other systems;
- you are authorized to share any credentials provided to VCoHost;
- you will not instruct VCoHost to engage in unlawful, deceptive, discriminatory, or platform-prohibited conduct;
- the Property has working smoke alarms and carbon monoxide alarms installed as required by applicable law and booking-platform safety standards, as recorded in your walkthrough;
- the Property has at least one working fire extinguisher readily accessible to Guests, as recorded in your walkthrough;
- there are no cameras, audio-recording devices, or other monitoring devices inside the Property, and any exterior camera or noise-monitoring device has been disclosed to VCoHost so it can be disclosed on each listing;
- no firearms or other weapons are kept at the Property; and
- the Property meets the Listing Requirements in Section 7.
You will keep these statements true while the Property is enrolled and notify VCoHost promptly if any of them stops being true.
26. Insurance
You must maintain, for as long as the Property is enrolled, an insurance policy that expressly covers the Property’s use as a short-term or vacation rental, including property damage and liability coverage for paid Guest stays. Many standard homeowner policies exclude paid Guest stays; a policy that excludes them does not meet this requirement.
You must provide the declarations page of that policy during onboarding, before the Go-Live Date. You must keep the coverage in force while the Property is enrolled and notify VCoHost promptly if it lapses, is cancelled, or no longer meets this requirement. VCoHost may request current proof of coverage at any time.
VCoHost does not sell, provide, or arrange insurance, does not review your policy for adequacy, and is not responsible for your insurer’s coverage decisions. Any insurer VCoHost refers you to is an independent third party.
Booking-platform protection programs, including Airbnb AirCover and Vrbo host protections, are not a substitute for this insurance.
27. No Performance Guarantees
VCoHost will use commercially reasonable care in providing the Services.
However, VCoHost does not guarantee:
- occupancy;
- rental rates;
- revenue or profitability;
- booking volume;
- Guest satisfaction;
- reviews or ratings;
- platform ranking or visibility;
- cleaner or maintenance-provider performance;
- damage recovery;
- regulatory approval; or
- uninterrupted operation of third-party technology.
Except as expressly provided in these Terms, Services are provided on an “as available” basis to the maximum extent permitted by applicable law.
28. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VCOHOST'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES FOR A PROPERTY SHALL NOT EXCEED THE SERVICE FEES ACTUALLY PAID TO VCOHOST FOR THAT PROPERTY DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VCOHOST WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST RENTAL REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, REPUTATIONAL HARM, PLATFORM PENALTIES, OR ADVERSE GUEST REVIEWS.
These limitations apply regardless of the legal theory asserted and even if VCoHost has been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
29. Indemnification
You agree to defend, indemnify, and hold harmless VCoHost and its affiliates, officers, directors, employees, and contractors from third-party claims, liabilities, damages, fines, penalties, judgments, and reasonable attorneys' fees arising from or relating to:
- ownership, condition, use, or operation of your Property;
- Guest injury, death, property damage, or Guest conduct;
- unsafe or defective Property conditions;
- violations of laws, ordinances, permit requirements, HOA rules, or platform requirements relating to your Property;
- your breach of these Terms;
- inaccurate or incomplete information supplied by you;
- acts or omissions of your cleaners, maintenance providers, or other third parties;
- your failure to maintain appropriate insurance;
- taxes or governmental assessments relating to your Property; or
- actions reasonably taken by VCoHost in reliance upon your instructions or information.
Your indemnification obligations do not apply to the extent a claim is finally determined to have resulted directly from VCoHost's gross negligence, willful misconduct, or violation of applicable law.
30. Independent Contractor
VCoHost is an independent contractor.
Nothing in these Terms creates an employment relationship, partnership, joint venture, fiduciary relationship, franchise, or ownership relationship between you and VCoHost.
The limited operational authority you grant VCoHost exists solely to enable VCoHost to provide the Services.
31. Force Majeure
VCoHost will not be liable for delays or failures caused by circumstances beyond its reasonable control, including severe weather, natural disasters, fire, utility interruption, internet failure, cyber incidents, platform outages, labor shortages, governmental actions, civil disturbances, epidemics, or similar events.
This Section does not excuse payment of amounts already earned and due.
32. Dispute Resolution
Before initiating formal proceedings, you and VCoHost agree to attempt in good faith to resolve disputes informally.
If a dispute cannot be resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its applicable commercial arbitration rules.
Unless otherwise agreed, arbitration will take place in Delaware or remotely by videoconference when permitted.
Judgment on an arbitration award may be entered in any court having jurisdiction.
Either party may seek temporary or emergency injunctive relief when appropriate.
TO THE EXTENT PERMITTED BY LAW, YOU AND VCOHOST EACH WAIVE THE RIGHT TO A TRIAL BY JURY.
33. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
34. Electronic Communications and Acceptance
You consent to receiving agreements, notices, disclosures, invoices, and other communications from VCoHost electronically.
Your electronic acceptance of these Terms has the same effect as your written signature to the extent permitted by applicable law.
VCoHost may maintain electronic records documenting your acceptance, including your identity or account information, date and time of acceptance, enrolled Property, pricing, Property Settings, and the version of the Terms accepted.
You are responsible for maintaining current contact information with VCoHost.
35. Changes to These Terms
VCoHost may update these Terms periodically to reflect changes to the Services, technology, business practices, or legal requirements.
For non-material changes, VCoHost may provide electronic notice and specify the date on which the revised Terms become effective.
If VCoHost makes a material change affecting pricing, dispute resolution, indemnification, limitation of liability, or other material contractual rights or obligations, VCoHost may require you to affirmatively accept the revised Terms before continuing to use affected Services.
Changes will not retroactively alter rights or obligations arising before revised Terms became effective unless you expressly agree otherwise.
The current version and effective date of these Terms will be made available electronically.
36. Assignment
You may not transfer your VCoHost account or these Terms to another Property owner or operator without VCoHost's consent.
VCoHost may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganization, financing, or sale of all or substantially all of its business or assets.
37. General Terms
These Terms, together with the pricing and Property Settings presented and accepted during enrollment, constitute the agreement between you and VCoHost concerning the Services.
If Property-specific pricing or terms presented and accepted during enrollment conflict with these Terms, the Property-specific terms control for that Property.
If any provision of these Terms is determined to be unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
Failure to enforce a provision does not waive the right to enforce it later.
Headings are provided for convenience and do not affect interpretation.
Sections that by their nature should survive termination—including payment obligations, intellectual property, confidentiality, indemnification, limitation of liability, dispute resolution, and governing law—will survive termination.
